NEW! Beneficial Owner Disclosure

Effective January 1, 2026, non-exempt limited liability companies that were formed under the law of a foreign country and which are authorized to do business in New York, will be required to file with the Department of State initial and annual disclosure statements that provide the names and other identifying information of those who own and/or control the limited liability company (see New York State Limited Liability Company Law sections 1106, 1107, and 1108).

NYS DOS will be performing system maintenance on Wednesday, December 31, 2025 at 3:30pm EST through Friday, January 2, 2026 at 12pm EST.  UCC, e-Filing, and XML online systems will not be available during this period due to year-end maintenance. Please note that this will not impact online filing of Certificates of Incorporation or Articles of Organization using the Ecorp filing system.
