As of January 1, 2024, certain types of corporations, limited liability companies, and other similar entities doing business in the United States must report information about their beneficial owners—the persons who ultimately own or control the company—to the Department of the Treasury’s Financial Crimes Enforcement Network (FinCEN). Additional information about the reporting requirements, including answers to questions such as “is my company required to report beneficial ownership information to FinCEN,” “who is a beneficial owner,” and “when do I need to report my company’s beneficial ownership information" is available at FinCEN.gov/BOI. Documents and Services
The Division of Corporations, State Records and Uniform Commercial Code Customer Service Counter in Albany, New York is allowing for the drop off documents and requests. Documents and requests that are dropped off will be returned to customers via mail unless an email address is provided.
Customers are encouraged to use the online filing system available on the Department of State's website to form business corporations and limited liability companies.

Service of Process
The Department of State will accept in person legal process served on the Secretary of State as statutory agent of a corporation or other business entity, by appointment. For service of process issues, including the scheduling of an appointment, please call 518-473-2492 so that arrangements can be made to effectuate service.
Processing Delays
Please note the Division of Corporations, State Records and Uniform Commercial Code is currently experiencing a delay in processing certain documents including, corporation and business entity certificates (e.g. Certificate of Amendment). The mailing of legal process (summons and complaints) served on the Secretary of State to entities being served has also been delayed. We apologize for any inconvenience caused by this delay.
